Mainline Randy (MLR) Professional Digital Services Agreement
1. Introduction
These Terms and Conditions ("Terms") govern the relationship between Mainline Randy (MLR) and our clients. By engaging our services, you agree to be bound by these professional standards and conditions.
2. Service Agreement
MLR provides professional website design, development, and tailored digital solutions for businesses. All services are delivered strictly in line with an approved quotation, proposal, or service agreement outlining scope, deliverables, and expectations.

3. Quotations & Acceptance
All quotations are valid for 14 days unless otherwise stated. Acceptance of a quotation—whether in writing, digital confirmation, or payment—constitutes agreement to proceed under these Terms.
4. Payment Terms
Our payment structure is based on professionalism and project commitment:
- A 50% non-refundable deposit is required before work begins
- The remaining 50% is due upon project completion and prior to final delivery or website launch
- Clients must reference their quotation or invoice number when making payments
- Proof of payment must be submitted for allocation and processing
- Retainer or milestone-based structures may apply for ongoing or larger projects
- Failure to comply with payment terms may result in project delays or suspension
5. Revisions & Scope Changes
Each project includes a reasonable number of revisions as defined in the proposal. Any additional changes or work outside the agreed scope may incur extra charges and timeline adjustments.
6. Intellectual Property & Ownership
Intellectual property rights are clearly defined in our service agreements:
- Client retains rights to their brand assets and content
- MLR retains rights to proprietary frameworks, code structures, and development processes
- Final deliverables are transferred upon settlement of all outstanding balances
- Usage rights and licensing agreements
- Third-party tools, plugins, or assets remain subject to their respective licenses
7. Project Timeline & Delivery
Project timelines are provided as professional estimates based on scope and complexity. Delivery may be affected by:
- Realistic timeline estimation based on project scope
- Regular progress updates and milestone reviews
- Quality assurance and testing procedures
- Client approval processes and revision policies
- Post-launch support and maintenance terms
8. Client Responsibilities
Successful project delivery requires active client participation:
- Provide all required content, assets, and information timeously
- Clear communication of project requirements and goals
- Prompt feedback and approval of deliverables
- Access to necessary systems and accounts
- Communicate clearly and respond within reasonable timeframes
- Ensure all submitted materials are lawful and do not infringe third-party rights
9. Third-Party Services
MLR may utilise third-party services (including hosting providers, plugins, or integrations). While we ensure proper implementation, we are not responsible for downtime, failures, or issues originating from third-party providers.
10. Refund Policy
Due to the nature of digital services, time investment, and resource allocation, all payments are non-refundable once work has commenced.
11. Confidentiality & Data Protection
We operate under strict confidentiality and comply with applicable data protection laws, including POPIA. All client information is handled securely and used solely for the purpose of delivering agreed services.
12. Warranty & Support
We provide quality assurance on delivered work and may offer limited post-launch support depending on the agreement. This may include:
- Technical support during the initial post-launch period
- Optional maintenance agreements for ongoing support
- Bug fixes and performance optimization
- Maintenance and update services
- Training and knowledge transfer
13. Limitation of Liability
MLR shall not be held liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, business interruption, or third-party claims arising from the use of our services.
14. Termination
Either party may terminate the agreement under specific conditions:
- Material breach of contract terms
- Failure to meet payment obligations
- Mutual agreement between parties
- Force majeure circumstances
- Professional termination procedures
15. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be handled through appropriate legal channels or professional arbitration within the jurisdiction.
